Access to the Platform is free of charge. Any person accessing the Platform may view and consult all Content.

The Content is made available free of charge and is freely accessible. The User is invited to carefully read these Terms and Conditions prior to using the Platform.

1. Definitions

For the purposes of these Terms and Conditions, the terms set out below shall, unless otherwise specified, have the meanings ascribed to each of them. Terms in the singular shall include the plural and vice versa, where the context so requires.

“Terms and Conditions” means these Terms and Conditions.

“Content” means any content (including, without limitation, texts, images, documents, information and data) made available on the Platform, as well as any resources available on the Platform.

2. Premises

These Terms and Conditions apply to the use of the Platform by Users.

Access to the Platform does not require registration or the creation of an account, unless otherwise indicated for specific functionalities that may be made available in the future.

3. Acceptance

By accessing or otherwise using the Platform, the User represents and warrants that they have read and accepted these Terms and Conditions. These Terms and Conditions are made available via a link on the Platform (for example in the footer) and may be consulted at any time.

If the User does not intend to accept these Terms and Conditions, the User must refrain from using the Platform.

4. Informational nature of the Content – Disclaimer

The Content is made available solely for informational and educational purposes and does not constitute, nor is intended to replace, professional advice (including, without limitation, legal, technical, financial, scientific or commercial advice).

Syxis Vsi does not warrant that the Content is accurate, complete, up to date or free from errors and/or omissions and reserves the right to modify, update, correct or remove it at any time, at its sole discretion.

The User acknowledges that any use of the Content is at their sole risk and responsibility and that any decisions made based on the Content are taken independently by the User, without any reliance attributable to Syxis Vsi.

5. Intellectual Property

Syxis Vsi owns (or is duly authorized to use) all copyright and other intellectual property rights relating to the Platform, its functionalities and, where applicable, the Content.

Unless otherwise indicated, the User is authorized to consult the Content exclusively for personal and non-commercial use. Any reproduction, distribution, communication to the public, modification or any other form of exploitation of the Content and/or the Platform, in whole or in part, without the prior written consent of Syxis Vsi or the relevant rights holders is prohibited.

6. Third-party content, external links and notices

The Platform may host third-party Content and/or hyperlinks or other references to third-party websites.

Syxis Vsi does not monitor or systematically review such websites or content and assumes no responsibility in relation thereto. The presence of links or references does not imply approval, endorsement or any form of association with the relevant third parties.

Without prejudice to the foregoing, Syxis Vsi reserves the right to remove, block or restrict access to Content and/or links where it receives notices or complaints (for example in relation to infringement of intellectual property rights, confidentiality, data protection or unlawfulness of the content) or where it deems, at its sole discretion, that this is appropriate.

Any person who believes that Content and/or a link available on the Platform infringes rights or applicable laws may submit a reasoned notice to Syxis Vsi at the email address [*], indicating: (i) the Content/link subject to the notice (URL or reference); (ii) the grounds for the notice; (iii) any supporting documentation; and (iv) contact details of the reporting party. Syxis Vsi will assess the notice and may take appropriate measures.

7. Proper Use

The User undertakes to use the Platform solely for the Purpose and in compliance with: (i) these Terms and Conditions; (ii) applicable laws and regulations; and (iii) third-party rights.

In particular, it is prohibited to: (a) interfere with the operation of the Platform or circumvent its security measures; (b) introduce malware or engage in activities capable of compromising the availability, integrity or security of the Platform; (c) carry out automated and systematic data/content collection (scraping/crawling) without authorization; (d) use the Content unlawfully or in violation of third-party rights.

8. Publication of Content upon request

To request the upload and/or publication of Content on the Platform, the User shall contact Syxis Vsi at the email address [*], providing (where applicable) title, description and/or category of the Content and any information reasonably necessary for its publication.

Syxis Vsi may provide a form to be returned signed, containing additional terms governing publication of the Content.

The User requesting publication represents and warrants, under their sole responsibility, that they hold all rights, licenses, authorizations and consents necessary to publish and make available the Content (including, where applicable, consents/privacy notices and authorizations relating to third parties’ Personal Data).

License. To the extent necessary for publication and use of the Content via the Platform, the User grants Syxis Vsi a non-exclusive, royalty-free licence, transferable for technical purposes (including via service providers), to host, reproduce, store and make the Content available.

The User shall indemnify and hold harmless Syxis Vsi from any claims by third parties relating to the Content published upon the User’s request including claims relating to infringement of intellectual property rights, confidentiality, and/or personal data protection legislation, to the fullest extent permitted by applicable law.

9. Interruptions and availability of the Platform.

Syxis Vsi may, at its sole discretion and at any time, modify, suspend or discontinue, temporarily or permanently, access to the Platform or to parts/features thereof.

The Platform is provided “as is” and “as available”. Syxis Vsi does not guarantee that the Platform will always be available, continuous, timely, secure, or free from errors, and shall not be liable for any modifications, suspensions, or interruptions, to the fullest extent permitted by applicable law.

10. Limitation of liability

To the fullest extent permitted by applicable law, Syxis Vsi shall not be liable for any indirect or consequential damages (including, by way of example, loss of profit, loss of data, business interruption, or reputational harm) arising out of the use of or inability to use the Platform and/or the Content.

Nothing in these Terms and Conditions limits liability where such limitation is prohibited by applicable law.

11. Privacy and Cookies

Syxis Vsi processes Personal Data in accordance with applicable laws (including Regulation (EU) 2016/679 – the “GDPR”, where applicable) and as set out in the Privacy Policy which forms an integral part of these Terms and Conditions.

Accessing the Platform and consultation of the Content generally does not require the active provision of Personal Data (for example through registration or completion of forms), without prejudice to the possible processing of technical navigation data and logs (which may include online identifiers), as set out in the Privacy Policy and Cookie Policy.

Where third-parties Personal Data are published via the Platform for example within Content), the related responsibility and obligations (including any requirement to obtain consents and/or ensure the existence of another appropriate legal basis) shall remain with the party requesting such publication, unless otherwise agreed in writing with Syxis Vsi.

12. Breach of Terms and Conditions

In the event of a breach of these Terms and Conditions, Syxis Vsi may take appropriate measures as it deems appropriate to address the violation, including limiting or temporarily or permanently suspending access to the Platform, as well as removing or disabling access to Content.

13. Amendments of the Terms and Conditions

14. Governing law and competent jurisdiction

These Terms and Conditions shall be governed by the laws of Lithuania, unless otherwise provided by mandatory applicable provisions.

If the User acts as a consumer under applicable law, any non-waivable rights granted to the consumer shall remain unaffected, including those relating to competent jurisdiction and applicable law, where applicable.
